Terms of Service

1. Agreement to Terms

By accessing and using CleStay (a product of Nageshwari Engineers and Consultant Pvt Ltd), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Description of Service

CleStay provides a cloud-based Property Management System (PMS) for hotels, including but not limited to:

• Front desk operations and reservation management
• Channel manager for OTA integrations
• Booking engine for direct reservations
• Billing, invoicing, and payment processing
• Reporting and analytics
• Guest management and CRM

3. User Accounts

To use our services, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Providing accurate and complete information

4. Subscription and Payments

4.1 Subscription Plans: CleStay operates on a subscription basis. Pricing is customized based on your property size and requirements.

4.2 Payment Terms: Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as provided in our Refund Policy.

4.3 Payment Methods: We accept payments via credit card, debit card, and other payment methods through our authorized payment processors (Stripe, PayPal, Razorpay).

4.4 Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

5. Free Trial

We may offer a 14-day free trial for new customers. No payment information is required during the trial. After the trial period, you will be charged unless you cancel before the trial ends.

6. Cancellation and Termination

6.1 Your Right to Cancel: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

6.2 Our Right to Terminate: We reserve the right to suspend or terminate your account if you breach these Terms or engage in fraudulent activity.

6.3 Effect of Termination: Upon termination, your right to use the service will immediately cease. You may request an export of your data within 30 days of termination.

7. Data Ownership and Backup

7.1 Your Data: You retain all rights to your data. We do not claim any ownership rights to your content.

7.2 Our Responsibilities: We perform regular backups of your data. However, you are responsible for maintaining your own independent backups.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance. We are not liable for downtime due to circumstances beyond our control.

9. Acceptable Use Policy

You agree not to:

• Use the service for any illegal purpose
• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit viruses or malicious code
• Attempt to gain unauthorized access to our systems
• Reverse engineer or copy any part of our service

10. Intellectual Property

The CleStay service, including all software, design, text, graphics, and other content, is owned by Nageshwari Engineers and Consultant Pvt Ltd and protected by copyright, trademark, and other intellectual property laws.

11. Limitation of Liability

To the maximum extent permitted by law, Nageshwari Engineers and Consultant Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

12. Warranty Disclaimer

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be error-free or uninterrupted.

13. Indemnification

You agree to indemnify and hold harmless Nageshwari Engineers and Consultant Pvt Ltd from any claims, damages, losses, liabilities, and expenses arising from your use of the service or breach of these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the service. Your continued use after such changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with Indian arbitration laws.
